Terms and Conditions
These terms govern your use of the Imani wallet at app.imani.casa, this website, and anything else we describe as part of the service. Using Imani means you accept them.
The short version, which is not the legal one. Imani is software that lets a shop issue a voucher and a customer hold it. The value in a voucher is owed by the shop that issued it, not by us. Your account is a key held on your device, so if you lose your backup key nobody can restore it, us included. Use the wallet for lawful trade and keep your key safe. The clauses below are what actually binds us both.
1. Who we are
Imani ("Imani", "we", "us") provides the Imani voucher wallet. In these terms "the service" means the wallet application, this website, and the relay and gateway infrastructure we operate to pass messages between users.
You can reach us at hello@imani.casa. Our postal address and company registration details are published at that address on request and in section 18 below.
2. What the words mean
- Voucher — a signed, bearer credit issued by a shop, denominated in that shop's chosen currency, redeemable with that shop for goods or services.
- Shop or merchant — a user registered as a business, who issues and honours vouchers.
- Customer — a user who holds and spends vouchers.
- Key — the cryptographic private key that constitutes your account, generated on your device and encrypted there with your passphrase.
- Backup key — the recovery phrase shown once at registration, which is the only way to restore an account on another device.
3. What Imani is, and is not
Imani is a technology provider. We supply software that lets shops issue vouchers and lets customers hold and spend them. We are not a party to the contract between a shop and its customer.
We do not hold your money. We are not a bank, an e-money institution, a payment institution or a deposit taker. A voucher is not a deposit, is not electronic money, and is not protected by the Financial Services Compensation Scheme. There is no central float, no pooled balance, and no account with us holding value on your behalf.
A voucher is an obligation of the shop that issued it. If a shop stops trading, refuses to honour a voucher, or ceases to exist, the customer's claim is against that shop. We cannot redeem, reissue, refund or underwrite a voucher, because at no point did we receive the money paid for it.
4. Eligibility
You must be at least 18 years old to register a shop and at least 16 to hold a customer wallet. If you register a shop you confirm you are authorised to bind that business. The service is offered to users in the United Kingdom; we make no claim that it is appropriate or lawful elsewhere, and you are responsible for compliance with your local law if you use it from outside the UK.
5. Your account and your key
Registration generates a key on your device. The key is encrypted with a passphrase that is never transmitted to us, and we never see or store it. This has a consequence we want to be completely unambiguous about:
- There is no password reset, because there is no password for us to reset.
- There is no account recovery, because we hold nothing to recover from.
- If you lose your backup key and your passphrase, the account and every voucher in it is permanently and irrecoverably lost.
You are solely responsible for keeping your backup key safe and private, and for every action taken by anyone holding it. Anyone with your backup key controls your account and can spend its vouchers. Treat it as you would cash.
You must not share an account, sell an account, or impersonate another person or business when choosing a handle, display name or profile.
6. Vouchers
Issue. A shop sets its currency once at registration; that choice is permanent for that account. The shop chooses a default validity period of 30, 60 or 90 days and may set a different period on an individual sale. A voucher carries the expiry it was issued with, and later changes to a shop's default do not alter vouchers already issued.
Redemption. A voucher is redeemable only with the shop that issued it, unless that shop says otherwise. Redeeming a voucher consumes it. Vouchers are bearer instruments: whoever holds the wallet containing the voucher can spend it, and the shop is entitled to treat presentation as authority to redeem.
Expiry. An expired voucher can no longer be redeemed through the wallet. Shops are responsible for setting expiry periods that comply with consumer protection law, and for honouring any statutory rights a customer has notwithstanding expiry.
Refunds and disputes. Any refund, exchange, cancellation or complaint about a voucher or about the goods or services it buys is a matter between the customer and the shop. We have no ability to reverse a redemption or restore a spent voucher. We will help with technical evidence where we hold it, which is generally very little by design.
7. If you run a shop
You agree that:
- You will honour every voucher you issue, at its face value, until it expires.
- You will describe accurately what a voucher can be spent on, and will not issue vouchers you do not intend or expect to be able to honour.
- You are the seller of record for every voucher you issue, and you are responsible for your own tax, VAT treatment, accounting, consumer law compliance and any licensing your trade requires.
- You will not use vouchers to take payment for anything unlawful, nor for goods or services you are not licensed to sell.
- You are responsible for your own record keeping. Your sales history is reconstructed from your own key on your own device. If you lose the key, you lose the history.
- You will deal fairly with customers and will resolve disputes with them directly and in good faith.
8. Acceptable use
You must not:
- Use Imani for money laundering, terrorist financing, fraud, or to evade sanctions or tax.
- Use vouchers as a substitute for a general payment instrument between parties who are not trading in goods or services, or as a means of transferring value with no underlying trade.
- Attempt to forge, duplicate, double-spend or otherwise tamper with a voucher or a signature.
- Probe, scan, overload or interfere with our relay, gateway or website, or attempt to gain access to any system or data you are not entitled to.
- Scrape, resell or redistribute the service, or build a competing service from it in breach of the applicable licence.
- Publish a handle, display name, description, avatar or banner that is unlawful, deceptive, obscene, or infringes anyone's rights.
We may refuse to relay traffic from, or withdraw our infrastructure from, an account we reasonably believe is breaching this section. Because your key is yours, this does not delete your account or take your vouchers; it means we stop carrying your messages.
9. Availability, and what happens if we go away
The service is provided on an "as is" and "as available" basis. We do not promise uninterrupted service. We may change, suspend or withdraw any part of it, and we will give reasonable notice of a material change where we can.
Imani is deliberately built so that your key and your vouchers are not held by us. If we cease to operate, the cryptographic material you hold remains yours and the voucher formats remain open, but our relay and gateway would stop, and you should expect to settle outstanding vouchers with your shops directly.
10. Fees
At present there is no subscription fee and no per-voucher fee. If we introduce charges we will give at least 30 days' notice by email or in the wallet, and no charge will apply to a voucher already issued.
11. Intellectual property
The Imani name, mark, wordmark, site copy and designs belong to us. Nothing in these terms transfers them to you. Where parts of the software are published under an open source licence, that licence governs those parts and takes precedence over this section for them.
You keep any content you publish through the service, such as your shop's name, description and images. You grant us a non-exclusive, worldwide, royalty-free licence to store, transmit and display that content solely to operate the service. You confirm you have the right to publish it.
12. Our liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. Nothing in these terms affects a consumer's statutory rights.
Subject to that, we are not liable for:
- Loss of a key, backup key or passphrase, or any loss of vouchers, records or access that follows from it.
- A shop's failure or refusal to honour a voucher, or the quality of anything a voucher buys.
- Loss arising from unauthorised access to your device, or from you disclosing your key to someone else.
- Indirect or consequential loss, loss of profit, loss of business, loss of goodwill or loss of anticipated savings.
Our total aggregate liability to you in connection with the service, in any twelve-month period, is limited to the greater of the fees you paid us in that period and £100.
13. Indemnity for business users
If you use Imani as a business, you will indemnify us against claims, losses and reasonable costs arising from vouchers you issued, goods or services you supplied, or your breach of these terms. This does not apply to consumers.
14. Ending it
You may stop using Imani at any time. Because we do not hold your account, "closing" it means you stop using the key; you should redeem or honour any outstanding vouchers first.
We may end or suspend our provision of infrastructure to you on notice, or immediately where you have breached section 8 or where we are required to by law. Sections 3, 6, 11, 12, 13 and 16 survive.
15. Changes to these terms
We may update these terms. The version and date at the top will change, and material changes will be notified in the wallet or by email at least 14 days before they take effect. Continuing to use the service after that means you accept the new terms.
16. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you live in Scotland or Northern Ireland you may instead bring proceedings in your own jurisdiction.

17. General
If any clause is unenforceable, the rest stands. Our not enforcing a term is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours to a successor of our business on notice. Nobody other than you and us has rights under these terms.
